Can I simply shutdown nds and take a copy of the dib on my existing OES1SP2 server, then start nds and install the new OES2SP2 server into the tree and if something goes wrong then I could simply restore the dib and everything would be as it was before I installed the new server into the tree?

Thanks,

Making a backup with the edirtool and ndsbackup should give you the option to either do a full or selective restore if needed. This will get tricky if you have multiple servers in your tree..
There is a good CoolSolution article on both tools here (full and single object restore) : Cool Solutions: Restoring a Single Object from a Whole DIB Backup

If you have the time, taking an image of your server system partition(s) seems a cleaner way to create your fail safe, especially I good plan if there's only one eDir system.
